Welcome to DocGenie! We hope that you have a great experience using our DocGenie Telemedicine Platform.

These terms and conditions (“Terms and Conditions”) are between Pgenie India Private Limited, having its registered office at L-103, Park Place, DLF Phase 5, Gurugram -122010, Haryana, India, incorporated under the laws of India (hereinafter referred to as “DocGenie” “we,” “us,” or “our”) and you or the entity you represent (“you” or “your” or “User(s)”) and they shall govern your use of the DocGenie Platform (as defined below). Your access to the Platform is subject to your acceptance of the Platform Terms and such acceptance of the Platform Terms forms a legally binding agreement between you and DocGenie (“Agreement”). Please take your time to read the Platform Terms in their entirety.

Our agreements with you are structured as below and all of them are read together to form one document (collectively, the “Platform Terms”):

  1. If you are a Health Care Service Provider: the principal terms of engagement executed by you which contain the basic information and the commercial arrangement between the you and DocGenie including the specifications, fee and commercial deliverable (“Principal Terms”); and
  2. If you are a patient-user: any terms and conditions, agreement, guidelines etc. executed between you and the Health Care Service Provider which will govern the conditions of the Services being provided by the Health Care Service Providers to you;

  5. any other terms and conditions, rules, policies or guidelines included in these Terms and Conditions or Privacy Policy by reference and/or as updated on the Platform or otherwise communicated to you from time to time (including terms and conditions of other third-party platforms that may be used or accessed for gaining access to the Platform on the Platform.)

The Platform Terms along with their respective annexures, schedules, letters, addendums, amendments, shall collectively form one agreement (collectively the “Agreement”). The Platform Terms are executed in an electronic form and will become effective from the date specified as the effective date under the Principal Terms (“Effective Date”), unless otherwise stated and no physical execution shall be required. Upon complete execution of the Principle Terms, you will receive a copy of the same via email.

Your use of the Platform is conditional upon your compliance with and acceptance of these Terms & Conditions and the execution of the Principal Terms.

Please read the Platform Terms (as may be updated by us from time to time) carefully and thoroughly as this will govern your agreement with DocGenie. DocGenie shall, on a reasonable-efforts basis, endeavour to send a notification to you on your registered email (as set out in the Principal Terms) regarding any updates or changes to the Terms & Conditions, however, you must periodically visit the link specified in the Platform and read the Terms & Conditions. By visiting and accessing the Platform, providing your Personal Information (as defined in the Privacy Policy) or by otherwise signaling your agreement when the option is presented to you, you hereby expressly accept and agree to the Platform Terms. If you do not agree to any of the terms or do not wish to be bound by them, then please do not use the Platform in any manner.

DocGenie and the User shall individually be referred to as a “Party” and collectively as the “Parties”.

ABOUT DOCGENIE AND THE PLATFORM:

The Platform is owned, managed, operated and offered by Pgenie India Private Limited, a company incorporated under the laws of India having its registered office at L-103, Park Place, DLF Phase 5, Gurugram -122010, Haryana, India (“DocGenie”). DocGenie is an online intermediary as defined under the Information Technology Act, 2000 and the rules thereunder, and provides telemedicine platform to facilitate the Services (as defined below).

  1. DEFINITIONS AND INTERPRETATION
    1. In addition to the terms defined in the introduction and recitals to these Terms and Conditions, whenever used in the Platform Terms, unless repugnant to the meaning or context thereof, the following words and terms shall have the meaning assigned to them in this Section 1. All capitalized terms are defined/have the meaning assigned to it under these Terms and Conditions. In other words, if you find any word herein that has its first letter capitalized, then it means that we have explained the meaning such word has in the context of these Terms and Conditions and/or the Platform Terms; if not here, then it will be provided in the relevant Platform Terms – when we refer to any such term in these Terms and Conditions, we will try and specify where in the Platform Terms you can find the meaning/definition.

      Applicable Law(s)” shall mean any laws, ordinance, statute, rule, order, decree, Approval, notification, circular, bye-law, directive, guideline, requirement or other governmental restriction, or any similar form of decision of, or determination by, or any interpretation, policy or administration, having the force of law of any of the foregoing, by any authority having jurisdiction over the matter in question, whether in effect as of the date of the Platform Terms or thereafter.

      Brand Content” shall mean registered and unregistered trademarks owned and used by DocGenie as of the Effective Date, trade names, brand names including the Brand Names corporate names, word marks, logos, trade dress, design rights, service marks, tag lines and descriptors, domain names, designs, typography, colour palettes, internet sites, stationery, signage, promotional items, advertising and marketing materials, product names and other similar designations that are owned by DocGenie and/or its affiliates and any other intellectual property and materials which together constitute the brand image and language by which DocGenie is known to the public.

      Brand Name(s)” means “DocGenie” which is the name under which DocGenie along with its affiliates: (i) have developed the DocGenie Telemedicine Platform; (ii) established its brand image and presence in public.

      DocGenie Confidential Information” means and includes (i) oral and written information disclosed by DocGenie to You; (ii) all information, documents, data of DocGenie that is designated as confidential or that reasonably should be understood by You to be confidential given the nature of the information and the circumstances of disclosure; (iii) DocGenie Property (iv) login credentials (v) all information and materials (in whatever form or media) provided to the You by or on behalf of DocGenie (vi) documentation relating to your use of (i), (ii), (iii), (iv) and (v); (vii) information / content shared or disclosed by DocGenie to you under or in contemplation of the Platform Terms; (vi) correspondence and communication sent, exchanged or disclosed by DocGenie to you in relation to DocGenie Telemedicine Platform.

      DocGenie Telemedicine Platform” means collectively, (a) the Website along with the underlying Software, (b) Applications along with the underlying Software; and (c) any other websites, apps, and distribution mediums operated by DocGenie and/or its affiliates in the future, whether now known or subsequently invented at any time after the Effective Date

      DocGenie Property” means the (a) DocGenie Telemedicine Platform and its contents; (b) all content or other material available on the DocGenie Telemedicine Platform or through the code, and other images, text, layouts, arrangements, displays, illustrations, documents, reports, materials, audio and video clips, HTML and files; (c) Software; (d) Brand Content; (e) any software, illustrations, letters, images, ideas, concepts, reports and other presentations pertaining to the DocGenie Telemedicine Platform and/or DocGenie (including DocGenie’s affiliates); (f) DocGenie’s generalized practices, techniques, business processes, and know-how regardless of whether developed in connection with the DocGenie Telemedicine Platform, users or engagements with patients, Health Care Service Providers or other clients or vendors of DocGenie including the Intellectual Property; (g) analysis and reports generated on the DocGenie Telemedicine Platform; and (h) all intellectual property rights in, to, or under (a)-(g).

      Health Care Service Provider” means a physician, specialist, clinic, polyclinic, doctor, healthcare service provider who has a limited license to use the DocGenie Telemedicine Platform, for a platform fee, to provide Services to their own customers, patients, etc.

      Intellectual Property” shall mean the (a) Brand Content; and (b) DocGenie’s generalized practices, techniques, trade secrets, business processes, know-how, ideas, concepts, designs, policies, procedures, specifications, legal and regulatory affairs, discoveries, research and development, inventions, improvements, financial information (including current status and projections), strategic information (including goals and plans of DocGenie), technical information, processes information, engineering information, marketing and sales plans and information, computer files, source code, software products and services which may contain trade secrets, processes, formulae, proprietary programs, software packages, methods and procedures of operation, user's guides, instruction manuals, works of authorship, copyrightable works, inventions (whether patentable or not) and any and all other information not publicly known and of potential value to competitors, whether in oral, written, electronic, graphic, or machine-readable form, whether or not protectable under patent, trademark, copyright (including rights in computer software) and moral rights, database rights, utility models or other intellectual property rights, in each case whether registered or unregistered and including applications for registration, and all rights or forms of protection having equivalent or similar effect anywhere in the world.

      Person” shall mean any natural person, limited or unlimited liability company, corporation, partnership (whether limited or unlimited), proprietorship, Hindu undivided family, trust, union, association, government or any agency or political subdivision thereof or any other entity that may be treated as a person under any law.

      "Services" shall mean the consultation, advice, medical advice, health advice, prescription, direction, guidance, suggestion, opinion, recommendation, services etc. provided by the Health Care Service Providers to the patient-users through the DocGenie Telemedicine Platform.

      Software” means in relation to the DocGenie Telemedicine Platform, all underlying software, underlying source and object code, instructions embedded in any form of digital documents, owned by or licensed to DocGenie and installed or delivered by DocGenie and/or its affiliates on software or hardware equipment used by You including (a) computers, diskettes, cloud, web hosting platform, CDs, and/or other media available to You by DocGenie; and (b) all data, information, or material residing on DocGenie’s and/or its affiliates’ computer servers.

      Term” shall mean the term of the Platform Terms and shall include the Initial Term and the Additional Term, if applicable.

      User Generated Content” means any content, information, message, suggestions, ideas, prescription, medical advice, comments, any opinion, recommendation, consultation or advice questions or other information, content that is sent, shared, delivered, submitted, expressed by any user on the DocGenie Telemedicine Platform.

      Website” shall mean DocGenie’s website at www.docgenie.in

    2. Interpretation

      In the Platform Terms, unless the context otherwise requires, the following rules apply:

      1. words importing the singular include the plural and vice versa;
      2. reference to Applicable Law shall include laws as may, from time to time, be enacted, re-enacted, amended or supplemented;
      3. reference to a gender includes a reference to the other gender;
      4. reference to the words “include” or “including” shall be construed without limitation;
      5. reference to the Platform Terms or any other agreement, deed or other instrument or document shall be construed as a reference to such agreement, deed or other instrument or document as the same may from time to time be amended, varied, supplemented or novated;
      6. the headings in the Platform Terms are solely for reference and shall not affect the interpretation or construction hereof;
      7. a time period for a payment to be made or an act to be done shall be calculated by excluding the day on which that period commences and including the day on which that period ends;
      8. a reference to a Party to the Platform Terms includes the Party’s Affiliates, successors (including legal heirs) and permitted assigns. Except as otherwise expressly provided herein, the provisions hereof shall inure to the benefit of, and be binding upon, the successors, assigns, heirs, executors and administrators of the parties hereto;
      9. a reference to conduct includes an act, omission, statement or undertaking, whether or not in writing;
      10. a reference to writing includes a facsimile transmission and any means of reproducing words in a tangible and permanently visible form; and
      11. any time, date or period referred to in any provision of the Platform Terms may be extended by mutual agreement between the parties but as regards any time, date or period originally fixed or any time, date or period so extended time shall be of the essence.
  2. PLATFORM SERVICES
    1. DocGenie Telemedicine Platform is an online service platform enabling Health Care Service Providers to provide online video consultations, Services and related services to the patient-users. Further, DocGenie may offer certain products/services to you in collaboration with one or more of affiliates of DocGenie. In such cases, to the extent that such product/services are made available to you through the Platform, the Platform Terms shall continue to apply to you. For the purpose of the Platform Terms, usage of the terms “Platform”/ “DocGenie Telemedicine Platform” shall expressly exclude any and all the Services being offered by the Health Care Service Providers on the DocGenie Telemedicine Platform. It is expressly clarified that the Services are not being provided by DocGenie and DocGenie hereby expressly disclaims any liability in connection with the provision of Services.
    2. If you are a patient-user, you agree and acknowledge that DocGenie has no control over and assumes no responsibility for any User Generated Content generated and/or the Services provided by the Health Care Service Providers listed on the DocGenie Telemedicine Platform or Services or consultation provided by the clinics listed on the DocGenie Telemedicine Platform and you expressly relieve DocGenie from any and all liability arising from User Generated Content generated by and/or Services or consultation provided by such Health Care Service Providers. If you are a Health Care Service Providers, you agree and acknowledge that DocGenie has no control over and assumes no responsibility for any User Generated Content generated by or information or medical details or personal information provided by the patient-users through the DocGenie Telemedicine Platform.
    3. You agree and acknowledge that DocGenie shall have the right at any time to change or discontinue any Service, product, aspect, or feature of the Platform, its availability and Supported/Compatible device required to access or use the Services. DocGenie reserves the right to restrict your access to the Platform, if you choose not to provide / partially provide the requested information.
    4. Limitations of Use of Platform/Services. The DocGenie Telemedicine Platform and the Services offered by the Health Care Service Providers are not for use for medical emergencies or secondary and tertiary care situations. If you believe there is an emergency or that someone needs immediate medical assistance, please call emergency service providers for medical help. DocGenie Telemedicine Platform and any Services offered are not intended to be used in emergency circumstances. Your interaction with any Health Care Service Providers through our DocGenie Telemedicine Platform is not intended to replace your relationship with your existing primary care physician or physical examination. Physicians will recommend for physical examination or diagnostic tests in certain circumstances. You need to either visit polyclinics or associate polyclinics/hospitals situated near your location or any other suggested healthcare provider and diagnostic labs for physical examination and for providing diagnostic test reports
    5. It is unequivocally clarified that the Services are provided solely by the Health Care Service Providers listed on the Platform, and not by DocGenie. DocGenie hereby expressly and to the fullest extent permitted by law disclaims any and all liability arising from or in connection with the provision of these Services. DocGenie functions strictly as an "intermediary" as defined under the Information Technology Act, 2000. The Health Care Service Providers listed on the Platform are independent entities, and there is no employment, agency, representative, partnership, or any other form of connection between DocGenie and these Health Care Service Providers. DocGenie assumes no responsibility or liability whatsoever for the quality, efficacy, suitability, or legality of any Services provided by the Health Care Service Providers and does not endorse or warrant their capability, skills, qualifications, legitimacy, or adherence to professional standards. Patient-users are solely responsible for conducting their own thorough and independent assessment of the qualifications and suitability of any Health Care Service Provider before engaging their Services
    6. Payment for Services. We charge a fee per consultation which is payable by the patient-user of DocGenie Telemedicine Platform. The payment for the Services will be processed through the available payment methods through the designated payment gateway. DocGenie reserves its right to modify the platform fees charged at any time without prior notice. Platform fees of 5% plus gst will be applicable for customers booking appointments with international mobile numbers.
    7. Refund Policy
      1. The Health Care Service Providers listed on the Platform strive to provide high-quality telemedicine services. If you are dissatisfied with a consultation due to technical difficulties using the Platform, issues with completing the call, or feeling that the Health Care Service Providers did not adequately address your concerns, we want to hear from you.
      2. If the follow-up call with the same Health Care Service Provider does not resolve your concerns, we will do our best to facilitate a consultation with another appropriate Health Care Service Provider.
      3. In the event that we are unable to resolve your concerns through either a follow-up call with the original Health Care Service Provider or a consultation with a different Health Care Service Provider, we will issue a refund for the amount paid for that specific consultation.
      4. If a consultation cannot be conducted due to the unavailability of the scheduled Health Care Service Provider, DocGenie will provide a full refund or reschedule the consultation with another available Health Care Service Provider at the patient's convenience.
      5. If the Health Care Service Provider advises that the patient's condition requires in-person treatment or hospitalization, DocGenie will provide a full refund.
      6. Patient Cancellations:
        1. For cancellations made at least 2 hours prior to the scheduled consultation time, a full refund will be issued.
        2. For cancellations made between 2 hours and 15 minutes of the scheduled consultation time, an 80% refund will be issued.
        3. No refunds will be issued for no-shows or cancellations made within 15 minutes of the scheduled appointment time.
      7. The refund will be processed through the original payment gateway, and the credit will be returned to the same payment instrument used for the original payment.
  3. RIGHT TO ACCESS
    1. As a User, to access the Platform and use certain Services, you will be required to register and create an account on the Platform by providing the requested details. To register on the Platform you must meet the ‘Age Requirements’ specified hereinbelow. By using the Platform, you, through your actions, affirm that the Age Requirements are met. You can register on the Platform for free however, certain Services offered on the Platform may be chargeable for which you may have to pay directly to the Service provider i.e. the Health Care Service Providers.
    2. Age Requirements to register and use on the Platform (“Age Requirements”):
      1. If you are a resident of India, then you must have attained at least 18 (eighteen) years of age to register and use the DocGenie Telemedicine Platform;
      2. If you are a resident of any country other than India, it is your responsibility to ensure that you have reached the legal age in your jurisdiction that permits you to enter into contracts and access internet services in order to register and use the DocGenie Telemedicine Platform.
      3. If you are resident of any other country and are considered to be of any age determined for use of internet services but are less than the contractual age determined by the applicable laws of such country, then by using the Platform, you confirm to us that your use of the Platform is with the permission of your Parent(s) (as defined below), and your Parent has read, agreed and accepted to the Agreement; and in the event of any dispute between you and DocGenie pursuant to your Agreement with us, the terms of our Agreement shall be applicable to and enforceable against your Parent.
    3. A User who does not fulfill the Age Requirements mentioned above (as may be revised as per applicable laws from time to time) i.e. a “Minor”. A Minor may utilize the DocGenie Telemedicine Platform only with the express consent and under the active supervision of their parent or legal guardian ("Parent"). The Parent must register on the DocGenie Telemedicine Platform and agree to these Terms and Conditions on behalf of the Minor. The Parent is solely responsible for ensuring that the Minor's use of the DocGenie Telemedicine Platform complies with these Terms and Conditions and all applicable laws.
    4. DocGenie reserves the right to restrict your access to the Platform, if it is discovered that you do not meet the Age Requirements and/or the consent to register and use the Platform is not obtained as above. You acknowledge that DocGenie does not have the responsibility to ensure that You conform to the aforesaid Age Requirements. It shall be Your sole responsibility to ensure that the required qualifications are met.
    5. Eligibility Requirements. To access the Platform and provide Services to patient-users, Health Care Service Providers are required to register and create an account by submitting all requested details and documentation to DocGenie. By registering and providing Services on the Platform, each Health Care Service Provider warrants and represents, and by each subsequent use of the Platform continuously confirms, that they:
      1. Possess and maintain the complete legal qualifications necessary to provide the Services in accordance with all Applicable Laws in every relevant jurisdiction in which they provide their Services.
      2. Hold and will continuously maintain, throughout their use of the Platform, all necessary approvals, licenses, permits, authorizations, consents, certifications, and registrations required to provide the Services to any person ("Approvals").
      3. Ensure that all Approvals are valid, in full force, and subsisting at all times while using the Platform.
    6. DocGenie reserves the absolute right to restrict or terminate a Health Care Service Provider's access to the Platform at any time if it discovers, or has reasonable grounds to believe, that the Health Care Service Provider does not meet or no longer meets the Eligibility Requirements outlined in Clause 3.5 above. Health Care Service Providers acknowledge and unequivocally agree that DocGenie has no obligation to proactively assess or monitor or ensure the Health Care Service Providers’ ongoing compliance with the aforementioned Eligibility Requirements. It remains the sole and absolute responsibility of each Health Care Service Provider to ensure that they fully satisfy and continuously adhere to all requirements stipulated in Clause 3.5 above.
    7. You are responsible for maintaining the confidentiality of your account and password to access the Platform. You acknowledge that your account is personal to you and agree not to provide any other Person with access to the Platform and to restrict access to your device to prevent any unauthorized access to your account. You agree to accept responsibility for all activities that occur under your account. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your username, password, or other Personal Information. You should take all necessary steps to ensure that the password is kept confidential and secure at all times, and if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorized manner, you agree to immediately change your password or inform us of any unauthorized access to or use of your username or password, so that we are able to help you stop or prevent such unauthorized access. Please ensure that the details you provide us are correct and complete.
    8. You represent that the information provided by you at the time of the registration are correct, true and accurate, and you agree to update the same as and when there is any change in the said information. Please read our Privacy Policy to understand how we handle your information.
    9. Please note that we reserve the right to reject or put on-hold your registration on the Platform as may be required to comply with all Applicable Laws, legal and regulatory provisions, and also reserve the right to refuse access to the Platform, terminate accounts, remove content at any time without providing any notice to you, and/or reserve the right to disable any account, feature, or identifiers, whether chosen by you or provided by us, at any time if, in our opinion, the said identifiers or you have violated any provision of the Platform Terms. Further, in respect of interactions between the Healthcare Service Providers and the patient-users – DocGenie is only an intermediary and does not monitor any of the interactions that take place between users on the DocGenie Telemedicine Platform, but DocGenie has clearly laid out the terms and guidelines a user must follow in their conduct on the DocGenie Telemedicine Platform as part of the Platform Terms; and if DocGenie receives from any User a complaint of misconduct against you, in any form, or if DocGenie otherwise deems necessary, DocGenie reserves the right to suspend or terminate your access to the DocGenie Telemedicine Platform or any part thereof at any time, with or without giving any notice or reason.
    10. Further, to access the Platform, you will need to use a “Supported/Compatible Device” which means a personal computer, mobile phone, portable media player, or other electronic device that meets the system and compatibility requirements and on which you are authorized to operate the Platform. The Supported/Compatible Devices to access the Platform and/or avail the Services may change from time to time and, in some cases, whether a device is (or remains) a Supported/Compatible Device may depend on software or systems provided or maintained by the device manufacturer or other third parties. Accordingly, devices that are Supported/Compatible Devices at one time may cease to be Supported/Compatible Devices in the future. Thus, kindly make sure that the device that you use is compatible with our system/software to use the Platform and avail the Services offered therein.
  4. LICENSE
    1. Subject to your acceptance and compliance with these Terms and Conditions, if you are a patient-user, DocGenie hereby grants you a non- exclusive, revocable, non-transferable, non-assignable, non-sub-licensable, limited license to access and make use of the DocGenie Telemedicine Platform for your own personal, non-commercial and private use on an ‘as is’ basis in accordance with these Terms and Conditions and other Platform Terms.
    2. Subject to your acceptance and compliance with these Terms and Conditions, if you are a Health Care Service Providers, DocGenie grants you a non-exclusive, revocable, non- transferable, non-sublicensable, limited license to access and make use of the Platform in connection with You providing the Services to other users of the DocGenie Telemedicine Platform, in accordance with these Platform Terms and any other agreement(s) that may be executed between you (as a Health Care Service Providers) and DocGenie.
    3. Notwithstanding anything to the contrary, You shall have no rights in the Platform, other than as expressly set out in the Platform Terms and you shall not be entitled to sub-license any portion of the Platform or use it for commercial gain.
    4. Notwithstanding anything to the contrary, this limited license granted to You under this Section 4 does not include or grant you any right to (i) download (other than the analysis reports and downloadable Applications to which you have permission) or modify any part of the DocGenie Property, except with express written consent of DocGenie; (ii) resale or commercial use of any part of the DocGenie Property; (iii) create derivatives or derivative use of any part of the DocGenie Property; (iv) download or copying of account information; (v) data mining or use of robots, or similar data gathering and extraction tools. Unless otherwise specified by DocGenie in a separate license, your right to use any software, data, documentation or other materials that you access or download through the DocGenie Telemedicine Platform is subject to the Platform Terms.
    5. Notwithstanding anything to the contrary, You will not reproduce, duplicate, copy, sell, redistribute, create derivative works or otherwise exploit the DocGenie Platform or any portion of the DocGenie Telemedicine Platform (including but not limited to any copyrighted material, trademarks, or other proprietary information) for any purpose without express written consent of DocGenie. You shall not frame or utilize framing techniques to enclose any Brand Content of DocGenie without express written consent of DocGenie. You may not use any meta tags or any other “hidden text” utilizing DocGenie’s Brand Content without the express written consent of DocGenie. Any unauthorized of the DocGenie Property by You use shall immediately terminate the permission or license granted to You by DocGenie and DocGenie shall have the right to pursue legal and contractual remedies against you.
  5. INTELLECTUAL PROPERTY RIGHTS
    1. All DocGenie Property (including the DocGenie Telemedicine Platform) is owned and operated by DocGenie. DocGenie Property is protected by copyright, patent and/or other proprietary intellectual property rights under Applicable Laws in India and abroad.
    2. DocGenie reserves the right at any time and from time to time to modify, discontinue, temporarily or permanently, the DocGenie Telemedicine Platform or any part or portion thereof, with or without notice to you. You agree that DocGenie shall not be liable to you or to any third party for any modifications, suspensions or discontinuance of the DocGenie Telemedicine Platform.
    3. Other than the Brand Content, all other trademarks, service marks and logos used on the DocGenie Telemedicine Platform, with or without attribution, are the trademarks, service marks or logos of their respective owners. In addition, elements of the DocGenie Telemedicine Platform and Brand Content are protected by trade dress and other central and state intellectual property laws and may not be copied, reproduced, downloaded or distributed in any way in whole or in part without the express written consent of DocGenie.
    4. Except as otherwise expressly permitted in the Platform Terms, you may not copy, sell, re-sell, display, reproduce, publish, modify, create derivative works from, transfer, distribute or otherwise exploit in any manner, any part of the DocGenie Property. You may not reverse-engineer, decompile, disassemble or otherwise access the source code for any software that may be used to operate the DocGenie Property. From time to time, DocGenie may include software, code, instructions, or other such information in the DocGenie Property; any such information is provided on an "as-is" basis for instructional purposes only and is subject to the Disclaimers (Section 12) and Limitation of Liabilities (Section 14) sections and other terms contained herein. Any use of such information for commercial purposes is strictly prohibited. DocGenie reserves all rights to the DocGenie Property, including any and all such rights which may not be expressly granted herein.
  6. USE OF THE PLATFORM; CONTENT AND CONDUCT; PROHIBITED USES
    1. You hereby expressly confirm, undertake, covenant that you shall not upload, send, share, deliver any User Generated Content to another user (whether Health Care Service Providers or patient-user) any information on the Platform that:
      1. belongs to another Person and to which you do not have any right;
      2. is defamatory, obscene, pornographic, invasive of another’s privacy including bodily privacy, insulting or harassing on the basis of gender, libelous, racially or ethnically objectionable, relating or encouraging money laundering or gambling, or otherwise inconsistent with or contrary to the laws in force;
      3. will, in any way which will amount to harassment of any other user;
      4. is harmful to a child;
      5. infringes any patent, trademark, copyright or other proprietary rights of another;
      6. violates any Applicable Law, statue, ordinance or regulation or Platform Terms;
      7. deceives or misleads any User about the origin of the message or knowingly and intentionally communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact;
      8. impersonates another Person;
      9. threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting other nation;
      10. contains software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;
      11. is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person;
      12. is false, inaccurate or misleading;
      13. is obscene or contain pornography;
      14. contains any viruses, trojan horses, worms, cancelbots or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data or Personal Information;
      15. is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, pornographic, or otherwise objectionable, as determined by DocGenie in its sole discretion;
      16. jeopardizes the security of your account or anyone else’s (such as allowing someone else to log in to the Service Offerings as you) attempts, in any manner, to obtain the password, account, or other security information from any other user; violates the security of any computer network, or cracks any passwords or security encryption codes;
      17. runs Maillist, Listserv, any form of auto-responder or “spam”, or any processes that run or are activated while you are not logged into the Platform, or that otherwise interfere with the proper working of the Platform (including by placing an unreasonable load on the Platform’s infrastructure); “crawls,” “scrapes,” or “spiders” any page, data, or portion of or relating to the Platform (through use of manual or automated means);
      18. copies or stores any portion of the DocGenie Property, in manner or medium whatsoever;
      19. decompiles, reverse engineers, or otherwise attempts to obtain the Software or source code or underlying ideas or information of or relating to the DocGenie Property.
    2. Further, the permission given by DocGenie to access and use the Platform under these Terms and Conditions is subject to the following conditions:
      1. You agree not to distribute in any medium any part of the Platform without DocGenie’s prior written authorization.
      2. You agree not to alter or modify or reverse engineer any part of the Platform.
      3. You agree not to access any account on the Platform other than the account that you have legitimate access to.
      4. You agree not to use the Platform for any of the following commercial uses unless you obtain DocGenie’s prior written approval:
      5. the sale of access to the Platform.
      6. the sale of advertising, sponsorships, or promotions placed on or within the Platform.
      7. the sale of advertising, sponsorships, or promotions of any third-party page or website
      8. You agree to receive installs and updates from time to time from DocGenie. These updates are designed to improve, enhance, and further develop the Platform and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates (and permit DocGenie to deliver these to you) as part of your use of the Platform.
      9. You agree not to use or launch any automated system, including without limitation, “robots,” “spiders,” or “offline readers,” that accesses the Platform in a manner that sends more request messages to DocGenie’s servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, DocGenie grants the operators of public search engines permission to use spiders to copy materials from the Platform for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. DocGenie reserves the right to revoke these exceptions either generally or in specific cases at any time with or without providing any notice in this regard. You agree not to collect or harvest any personally identifiable information, including account names, from the Platform, nor to use the communication systems provided by the Platform, unless otherwise mentioned herein.
      10. You may send User Generated Content as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringement of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any other form of spam. In other words, ensure that your conduct on the Platform is in accordance with the Platform Terms and all applicable law.
      11. In your use of the Platform, you will, at all times, comply with all applicable laws and regulations.
      12. If you are a Health Care Service Providers, you hereby represent, agree and acknowledge that you shall not engage in any act or omission, which may interfere with or in any manner which (i) hinders the performance of your duties under the Platform Terms in any respect; (ii) which presents a conflict of interest or adversely impacts the business and/or reputation of DocGenie; (iii) is in non-compliance or breach of any Applicable Law, medical standards, ethics and standard business practices.
    3. Additionally, You shall not (directly or indirectly) or permit any third party to: (i) use any of DocGenie Confidential Information to create any software, documentation or service that is similar to the DocGenie Property or any documentation provided in connection therewith; (ii) modify, translate, or otherwise create derivative works of any part of the DocGenie Property, (iii) copy, license, sublicense, sell, resell, encumber, distribute, transfer or otherwise use or exploit or make available the DocGenie Property in any manner or medium whatsoever or otherwise for the benefit of any third party without the prior written consent of DocGenie.
    4. If at any given point it comes to DocGenie’s notice that you have engaged in any kind of harassment of other users, then in such a case you agree that DocGenie shall have the sole right to suspend/terminate your account with immediate effect and without any notice of such suspension or termination and we also reserve the right in our sole discretion to initiate any legal proceedings against you in such cases.
    5. DocGenie does not endorse any User Generated Content expressly disclaims any and all liability in connection with User Generated Content. You agree and acknowledge that DocGenie has no control over and assumes no responsibility for any such User Generated Content.
    6. You will not intentionally use the DocGenie Telemedicine Platform in any way that is unlawful or harms Pgenie, its directors, employees, affiliates, distributors, partners, service providers and/or any User and/or data or content.
    7. As part of your registration process as well as in course of providing the service to you, you may receive SMS or email messages from DocGennie or its service providers on Your registered mobile number or email Id. These messages will relate to your registration and/or transactions that you carry out through DocGenie Telemedicine Platform and any such useful information. Pgenie or Service Providers will send these messages only to the mobile number or email Id that you provide to us. It is your responsibility to ensure that you provide the correct number and email Id for the transaction you wish to enter into. Further, DocGenie may also send notifications and reminders to you with respect to appointments scheduled by you for the features or services that you may opt for. You hereby consent to receive such messages from DocGenie and the Service Providers.
    8. By using the DocGenie Telemedicine Platform and/or registering yourself with us, you authorize us to contact you via email or phone call or SMS and offer you services for the product you have opted for, imparting product knowledge, offer promotional offers, for which reasons, personally identifiable information may be collected as detailed below. Irrespective of the fact if also you have registered yourself under DND or DNC or NCPR service, you still authorize us to give you a call from the DocGenie, its service providers & associate partners for the above-mentioned purposes till your engagement continues with us.
    9. You acknowledge that the DocGenie Telemedicine Platform is an informative and enabling platform only. Pgenie India Pvt Ltd., is not in the business of providing health care service or hospital services.
    10. We encourage you to independently verify any information you see on the DocGenie Telemedicine Platform. You will use the DocGenie Telemedicine Platform and the features provided by it only in relation to and in compliance with all applicable Indian laws. You will not use DocGenie Telemedicine Platform or any feature provided by the DocGenie Telemedicine Platform for any purposes not intended under this Agreement.
    11. DocGenie does not recommend or endorse any specific Health Care Service Provider or make any representations or warranties with respect to quality of the Health Care Service Provider that they may provide.
    12. You may schedule an appointment on DocGenie Telemedicine Platform for your family members and friends. However please note that you will be solely responsible for any activity that is undertaken through your account on behalf of your family members and friends.
    13. The DocGenie Telemedicine Platform may contain links to third-party websites, applications, content, or service providers, including advertisers and e-commerce websites (collectively, "Third-Party Websites"). DocGenie does not endorse or sponsor any Third-Party Websites. Links to such Third-Party Websites are provided for your convenience only. You are solely responsible for your interactions with any Third-Party Websites. You should exercise your independent judgment and caution when visiting or using any Third-Party Websites. DocGenie is not responsible for the content, accuracy, or reliability of any information or materials provided on or through any Third-Party Websites. Your use of any Third-Party Websites is subject to the terms and conditions of the respective Third-Party Website. DocGenie assumes no responsibility or liability for your use of or any actions taken by you on any Third-Party Websites.
  7. PROCESSING OF PERSONAL INFORMATION

    All our collection, processing, sharing and storing of any Personal Information collected from you shall be in accordance with our Privacy Policy. Kindly read the same to understand the security measured undertaken by DocGenie to safeguard your Personal Information. Should have any queries in respect of the same, please feel free to right to us at support@docgenie.in . You have the option of uploading your identifiable health information including physical, physiological and mental health condition, and medical records and history on the Platform which may be accessed by your Health Care Service Provider at the time of private interactions using DocGenie Telemedicine Platform as per our Privacy Policy

  8. FEEDBACK

    If any User(s) submits suggestions, ideas, comments, or questions containing product feedback about the Platform or any of the Services, either through the Platform or otherwise (“Feedback”), then such User(s) grants DocGenie and its affiliates a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable right to use (and full right to sublicense), reproduce, modify, adapt, publish, translate, create derivative works from, distribute, transmit, and display such Feedback in any form. Users shall have no intellectual property right in the Platform as a result of DocGenie’s incorporation of their Feedback in the Platform.

  9. PLATFORM RIGHTS; DOCGENIE RIGHTS
    1. In respect of the entire Platform, DocGenie reserves the following rights:
      1. DocGenie reserves the right to put on-hold or reject or suspend or terminate your registration on the Platform for the purpose of complying with the legal and regulatory requirements.
      2. DocGenie reserves the right to remove you and/or the User Generated Content without notice if you violate any provisions of the Platform Terms.
      3. DocGenie may modify, terminate, or refuse to provide access to the Platform at any time for any reason, without notice.
      4. Notwithstanding anything contrary stated in the Platform Terms, in its sole discretion, DocGenie may remove anyone from the Platform at any time for any reason.
      5. DocGenie reserves the right to access your account and/or the User Generated Content in order to respond to requests for technical support, to maintain the safety and security of the Platform, legal purposes and for other legitimate business purposes, as necessary, in DocGenie’s discretion.
      6. DocGenie has no obligation to monitor any content that appears on the Platform or review any conduct occurring through the Platform, including any interactions between Users, however, if DocGenie receives notice or becomes aware of, any violation of the Platform Terms, then, DocGenie reserves the right to refuse your access to the Platform, terminate accounts or remove such violating content at any time without notice to you.
      7. DocGenie reserves its right to suspend all or certain aspects of the services in certain geographical areas at its sole discretion without prior notice.
  10. PLATFORM AVAILABILITY

    Your access to the Platform may occasionally be suspended or restricted to allow for repairs, maintenance, or due to the introduction of new facilities or services at any time without prior notice. We will attempt to limit the frequency and duration of any such suspension or restriction. You agree that DocGenie will not be liable for any losses that may be incurred by you if for any reason all or part of the Platform is unavailable at any time or for any period for use.

    While DocGenie Telemedicine Platform is accessible worldwide; the Services and features offered are specifically targeted towards customers in India. If you choose to access and use the Platform from a location outside of India, you do so entirely at your own risk. You acknowledge and agree that the Health Care Service Providers listed on the Platform hold the necessary Approvals to provide the Services within India only. You are solely responsible for understanding and complying with the healthcare regulations and provider qualifications in your country of residence. By proceeding to use the Services from outside India, you expressly disclaim and waive any claims against DocGenie and/or the Health Care Service Providers related to their lack of registration or specific qualifications to practice medicine under the laws of your jurisdiction.

  11. DELETION OF ACCOUNT

    As a User, you may delete your account at any time by either writing to us at the email address provided under ‘Consumer Grievance’ section below or by using the delete option provided within your account on the Platform (if available). If your account is deleted (regardless of the reason), you will no longer have access to your account on the Platform; any deletion once processed is irrecoverable. DocGenie is not responsible for the loss of your information and/or User Generated Content upon deletion and DocGenie shall not be liable to any party in any way for the inability to access User Generated Content arising from any deletion. Please note that all accounts will remain active unless you explicitly ask us to delete it.

  12. DISCLAIMER

    YOU AGREE THAT THE PLATFORM, CONTENT, AND ALL MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND YOUR USE OF THE PLATFORM SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, DOCGENIE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM AND EXCLUDE ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORM AND YOUR USE THEREOF. TO THE FULLEST EXTENT PERMITTED BY LAW, DOCGENIE EXCLUDES ALL WARRANTIES, CONDITIONS, TERMS OR REPRESENTATIONS ABOUT THE ACCURACY, SECURITY, RELIABILITY, QUALITY, AVAILABILITY OR COMPLETENESS OF THE PLATFORM, USER-GENERATED CONTENT ON THE PLATFORM, OR THE CONTENT OF ANY SITES SO LINKED AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF USER-GENERATED CONTENT OR ANY CONTENT ON THE PLATFORM, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE PLATFORM, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE PLATFORM, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE PLATFORM BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY USER-GENERATED CONTENT OR ANY OTHER CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY USER- GENERATED CONTENT OR ANY OTHER CONTENT THAT IS POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE PLATFORM AS DOCGENIE IS STRICTLY AN INTERMEDIARY. DOCGENIE DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY USER- GENERATED CONTENT OR THE PLATFORM ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE PLATFORM OR ANY HYPERLINKED SERVICES OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND DOCGENIE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF USER-GENERATED CONTENT OR SERVICES. AS WITH THE PURCHASE OF A SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

    THE SERVICES AVAILABLE ON THE DOCGENIE TELEMEDICINE PLATFORM DO NOT IN ANY WAY CONSTITUTE AN INVITATION OR RECOMMENDATION TO AVAIL THE SERVICES. THE INFORMATION PROVIDED ON THE DOCGENIE TELEMEDICINE PLATFORM IS FOR INFORMATIONAL PURPOSES ONLY AND IS NOT INTENDED TO BE A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. YOU ARE REQUESTED TO ALWAYS CONSULT WITH A QUALIFIED HEALTHCARE PROFESSIONAL FOR ANY MEDICAL QUESTIONS OR CONCERNS.

    DOCGENIE DOES NOT ENDORSE, INFLUENCE, OR CONTROL ANY PARTICULAR BRANCH OF MEDICINE.

    PLEASE READ CAREFULLY: IT IS UNEQUIVOCALLY STATED THAT THE HEALTHCARE SERVICES ACCESSED THROUGH THIS PLATFORM ARE PROVIDED SOLELY BY THE INDEPENDENT HEALTH CARE SERVICE PROVIDERS LISTED ON THE PLATFORM, AND NOT BY DOCGENIE (PGENIE INDIA PRIVATE LIMITED). TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DOCGENIE EXPRESSLY DISCLAIMS ANY AND ALL RESPONSIBILITY AND LIABILITY FOR THE PROVISION, QUALITY, EFFICACY, SUITABILITY, LEGALITY, OR ANY OTHER ASPECT OF THESE SERVICES. DOCGENIE OPERATES STRICTLY AS AN "INTERMEDIARY" AS DEFINED UNDER THE INFORMATION TECHNOLOGY ACT, 2000, FACILITATING THE CONNECTION BETWEEN PATIENT-USERS AND INDEPENDENT HEALTH CARE SERVICE PROVIDERS, HEALTHCARE PROFESSIONALS, DOCTORS ETC. NO EMPLOYMENT, AGENCY, REPRESENTATIVE, PARTNERSHIP, OR ANY OTHER RELATIONSHIP EXISTS BETWEEN DOCGENIE AND THESE HEALTH CARE SERVICE PROVIDERS. DOCGENIE ASSUMES NO RESPONSIBILITY FOR, AND OFFERS NO ENDORSEMENT, WARRANTY, OR REPRESENTATION REGARDING THE CAPABILITY, SKILLS, QUALIFICATIONS, LEGITIMACY, PROFESSIONAL STANDARDS, OR ANY OTHER ATTRIBUTES OF THE HEALTH CARE SERVICE PROVIDERS. PATIENT-USERS ARE SOLELY RESPONSIBLE FOR EXERCISING THEIR OWN THOROUGH AND INDEPENDENT DUE DILIGENCE IN EVALUATING AND SELECTING A HEALTH CARE SERVICE PROVIDER.

  13. INDEMNITY & RELEASE
    1. To the extent permitted by Applicable Law, you agree to defend, indemnify and hold harmless DocGenie, its affiliates, their respective officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the DocGenie Telemedicine Platform; (ii) your violation of any term of the Platform Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; (iv) any claim that your User Generated Content caused damage to a third party; or (v) violation of any Applicable Laws. This defense and indemnification obligation will survive these Terms and Conditions and your use of the DocGenie Telemedicine Platform.
    2. You hereby expressly release DocGenie, its affiliates and any of their respective officers, directors, employees and agents from any cost, damage, liability or other consequence of any of the actions/inactions of any third-party vendors or service providers or Health Care Service Provider and specifically waive any claims or demands that you may have in this behalf against any of DocGenie, its affiliates and any of their respective officers, directors, employees and agents under any statute, contract or otherwise.
  14. LIMITATION OF LIABILITY

    DOCGENIE WILL NOT BE RESPONSIBLE OR LIABLE TO YOU OR ANY THIRD PARTY FOR ANY FAILURE IN THE DOCGENIE TELEMEDICINE PLATFORM RESULTING FROM OR ATTRIBUTABLE TO (A) YOUR SYSTEMS; (B) NETWORK, TELECOMMUNICATIONS OR OTHER SERVICE OR EQUIPMENT FAILURES OUTSIDE OF DOCGENIE’S FACILITIES; (C) NEGLIGENCE, FRAUD, MISCONDUCT, INTENT TO DECEIVE BY YOU AND/OR ANY THIRD PARTY; (D) ANY ACTS OR OMISSIONS BY YOU OR ANY THIRD PARTY; (E) ANY FORCE MAJEURE OR CAUSE BEYOND DOCGENIE'S REASONABLE CONTROL, (F) SCHEDULED MAINTENANCE OR (G) UNAUTHORIZED ACCESS, BREACH OF FIREWALLS OR OTHER HACKING BY THIRD PARTIES; (H) YOURS OR ANY THIRD PARTY’S PRODUCTS, SERVICES, SERVICE OFFERINGS, (I) YOUR BREACH OF THE PLATFORM TERM. DOCGENIE WILL NOT BE RESPONSIBLE OR LIABLE TO YOU OR ANY THIRD PARTY IN CONNECTION WITH THE SERVICES. IT IS EXPRESSLY CLARIFIED THAT DOCGENIE IS NOT THE PROVIDER OF THE SERVICES AND IN ITS CAPACITY AS A PLATFORM INTERMEDIARY, IS NOT RESPONSIBLE FOR ANY SERVICES AND/ OR USER GENERATED CONTENT AVAILABLE ON THE DOCGENIE TELEMEDICINE PLATFORM. DOCGENIE DISCLAIMS ANY AND ALL LIABILITY IN CONNECTION WITH THE SERVICES AND / OR USER GENERATED CONTENT.

  15. REPRESENTATIONS & WARRANTIES

    You represent and warrant that: (i) all information provided by you to DocGenie is true, accurate, complete, and up-to-date; (ii) your use of the Platform and any content or materials you submit or upload will comply with all applicable laws, rules, and regulations; (iii) your use of the Platform and any content or materials you submit or upload will not infringe upon the intellectual property rights or other rights of any third party; (iv) you have the legal right and authority to use the payment methods provided (if applicable); (v) you have read, understood, and agreed to all the terms and conditions of this agreement without any duress or undue influence; (vi) you have the necessary rights and permissions to use and submit any content you upload to the Platform (if applicable); (vii) the content you submit is original and does not infringe upon the rights of any third party (if applicable); (viii) you have the legal right and capacity to enter into this agreement and use the Platform; (ix) if you are acting on behalf of an entity, you have the full authority and capacity to bind such entity to these terms and conditions; (x) you acknowledge and agree to the Platform's privacy policy regarding the collection, use, and disclosure of personal information; (xi) You agree to indemnify and hold harmless the Platform owner and its affiliates from any and all claims, losses, damages, liabilities, costs, and expenses (including attorneys' fees) arising from or relating to your use of the Platform, violation of these terms, or infringement of any third party rights.

  16. GOVERNING LAW; JURISDICTION

    The Agreement shall be governed by and construed in accordance with the laws of India; and you agree, as we do, to submit to the exclusive jurisdiction of the courts at India. All disputes arising out of these Terms and Conditions shall be first referred to arbitration as per the Arbitration and Conciliation Act, 1996.

    2. Modification, Amendment or Termination: DocGenie may, in its sole discretion, modify or revise the Agreement and policies at any time, and you agree to be bound by such modifications or revisions. Your continued use of the Platform post any modification of the Agreement shall be taken as your consent and acceptance to such modifications. Nothing in the Agreement shall be deemed to confer any third-party rights or benefits. You are advised to check our Platform frequently to see recent changes and to keep yourself updated with the most recent updates.
    3. Confidentiality and Publicity: You may use DocGenie Confidential information only in connection with your use of DocGenie Telemedicine Platform as permitted under the Platform Terms. You will not disclose the DocGenie Confidential Information. You will take all reasonable measures to avoid disclosure, dissemination or unauthorized use of DocGenie Confidential Information, including, at a minimum, those measures you take to protect your own confidential information of a similar nature. You will not issue any press release or make any other public communication with respect to Platform or your use of the DocGenie Telemedicine Platform or any part of the DocGenie Confidential Information. You will not misrepresent or embellish the relationship between us and You (including by expressing or implying that we support, sponsor, endorse, or contribute to you or your business endeavors, Services), or express or imply any relationship or affiliation or partnership between us and you or any other person or entity except as expressly permitted by the Platform Terms
    4. Force Majeure: DocGenie shall not be liable for failure to perform, or the delay in performance of, any of its obligations if, and to the extent that, such failure or delay is caused by events substantially beyond its control, including but not limited to acts of God, acts of the public enemy or governmental body in its sovereign or contractual capacity, war, terrorism, floods, fire, strikes, epidemics, civil unrest or riots, power outage, and/or unusually severe weather.

    7. Miscellaneous: If any part of the Agreement is found to be unlawful, void or unenforceable, that part of the Agreement will be deemed severable and will not affect the validity and enforceability of any remaining provisions. Any notice required to be given in connection with the Platform shall be in writing and sent to the registered office of DocGenie. We do not guarantee continuous, uninterrupted or secure access to the Platform, and operation of the Platform may be interfered by numerous factors outside our control. Headings are for reference purpose only an on no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to any breach by you or others does not waive our right to act with respect to subsequent or similar breaches.
